Terms of Service

These Terms of Service ("Terms") govern access to the website and the AIGIUS document-processing platform provided by AIGIUS B.V., Roestuin 18, 3343 CV Hendrik-Ido-Ambacht, the Netherlands, KvK 97299545, VAT NL867991859B01 ("AIGIUS", "we"). A signed order form or pilot agreement ("Order") prevails over these Terms where the two conflict.

1. Definitions

Customer
The legal entity that has entered into an Order with AIGIUS.
Services
The AIGIUS document-processing platform, associated APIs, connectors, and any professional services named in the Order.
Customer Data
All content that Customer or its authorised users submit to the Services, including documents, attachments, and derived data.

2. Access and use

Subject to payment of the fees in the Order and compliance with these Terms, AIGIUS grants Customer a non-exclusive, non-transferable, worldwide right to access and use the Services during the term of the Order.

3. Acceptable use

  • Customer will not use the Services in violation of applicable law or of a third party's rights.
  • Customer will not attempt to reverse-engineer the AI models, probe the infrastructure for vulnerabilities (absent an authorised penetration test), or circumvent usage limits.
  • Customer is responsible for the lawful acquisition of all Customer Data submitted to the Services and for any notifications or consents required under data-protection law.

4. Fees and billing

Fees are set out in the Order, typically per document processed with a minimum annual volume. Invoices are issued monthly in arrears unless otherwise agreed. Late payments accrue statutory commercial interest under Dutch law.

5. Service availability

AIGIUS targets a minimum service availability of 99% per calendar month for production Enterprise deployments. Maintenance windows and exclusions are described in the Order. Service credits, if any, are the sole remedy for availability shortfalls.

6. Data processing

AIGIUS acts as a processor for Customer Data. The Data Processing Agreement forms part of these Terms and sets out the GDPR roles, sub-processors, and security measures.

7. Intellectual property

AIGIUS and its licensors own all intellectual-property rights in the Services, including the AI models, connectors, and documentation. Customer owns all rights in Customer Data and, subject to payment, receives the usage rights described above.

8. Confidentiality

Each party will treat the other's non-public information as confidential, use it only to perform under the Order, and protect it with reasonable care. Confidentiality obligations survive termination.

9. Warranties and disclaimers

AIGIUS warrants that the Services will perform materially as described in the then-current documentation. To the maximum extent permitted by law, all other warranties are disclaimed, including fitness for a particular purpose and non-infringement beyond what is stated in the Order.

10. Limitation of liability

Except for breach of confidentiality, wilful misconduct, or amounts owed under the Order, each party's aggregate liability under the Terms is limited to the fees paid or payable by Customer in the twelve (12) months preceding the event giving rise to the claim. Neither party is liable for indirect or consequential damages.

11. Term and termination

The Terms take effect on the Order start date and continue for the term stated there. Either party may terminate for material uncured breach after 30 days' written notice. On termination, Customer Data is returned or deleted as set out in the DPA.

12. Governing law and venue

These Terms are governed by Dutch law. Disputes are submitted exclusively to the competent court in Rotterdam, the Netherlands, unless mandatory consumer or competition-law rules require otherwise.

13. Changes

We may update these Terms by posting a revised version here. For active customers, material changes take effect 30 days after written notice.
